1. Introduction

These Terms of Service ("Terms") govern your access to and use of the services provided by Globestart Commerce, a trading style of INNOVO AI LTD (formerly Oversea Commerce LTD), a company registered in England and Wales under company number 14862227, with registered office at:

In these Terms, "we", "us" and "our" refer to Globestart Commerce / INNOVO AI LTD, and "you" or "your" refers to the person or entity using our services.

By purchasing or using any of our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Our Services

We provide services that may include (depending on the package you select):

• UK Private Limited Company formation and incorporation filing with Companies House
• Registered office address and business address services in the UK
• Assistance with UK business bank account applications through third-party financial institutions
• Assistance with payment gateway applications (such as Stripe and PayPal), subject to their eligibility, onboarding and risk review
• Advisory calls and audits relating to e-commerce, payment flows and compliance
• Online store design and development, including initial product loading and payment integration
• Ongoing address service renewals and optional accounting/consulting services

The specific services you receive are determined by the package you purchase (Core, Pro, Elite, or any other plan we may introduce).

We reserve the right to improve, update, modify or discontinue any part of the services, provided we fulfil services you have already paid for or offer a reasonable alternative.

3. No Guarantee of Third-Party Approvals

Many of our services involve third-party providers such as:

• Companies House
• Banks and financial institutions
• Payment gateways (e.g. Stripe, PayPal)
• Other regulated or unregulated service providers

We will use reasonable efforts and our experience to assist with your applications and provide guidance. However:

• We do not control the decisions of any third-party provider.
• We cannot and do not guarantee that any application will be accepted, approved, or remain in good standing.
• Decisions relating to account opening, risk review, compliance, freezes or closures are taken by the third-party provider at their sole discretion.

Failure by a third-party provider to approve or maintain your account is not grounds for a refund, once we have provided our advisory and application support as described in your package (see Refund Policy).

4. Eligibility and Business Use

Our services are primarily intended for business customers (entrepreneurs, companies, and professionals). By using our services, you confirm that:

• You are at least 18 years old or otherwise legally capable of entering into a binding contract.
• You are not using our services for illegal activities or in violation of sanctions, anti-money laundering rules or other regulatory requirements.
• All information and documents you provide are accurate, complete and not misleading.

We reserve the right to decline or terminate services if we reasonably believe your activities may be unlawful, high-risk, or in breach of these Terms.

5. Your Responsibilities

You are responsible for:

5.1 Providing accurate information

• Supplying true, accurate and complete information for company formation, address services, banking and payment gateway applications.
• Updating us promptly if your details change.

5.2 Compliance with laws and regulations

• Complying with all applicable laws, tax obligations, and regulatory requirements in the UK and in your home country.
• Obtaining independent legal, tax or accounting advice as needed.

5.3 Ongoing company obligations

• Filing annual accounts, confirmation statements and any other required filings.
• Paying any applicable taxes and governmental fees.
• Maintaining valid address services and other required services.

5.4 Security of access

• Keeping any login details, documents and communication with us secure and confidential.
• Not sharing internal or secure communications with unauthorised third parties.

6. Fees, Payments and Renewals

6.1 Packages and Pricing

Our packages (for example, Core, Pro, Elite) have clearly stated prices and inclusions on our website or in specific proposals. By purchasing a package, you agree to pay the quoted fees.

Unless explicitly stated otherwise, all amounts are expressed in US Dollars (USD).

6.2 One-Time Fees

Company formation and package fees (e.g. $399, $999, $1,999) are typically paid as one-time fees for the first year of services. These fees usually cover:

• Company formation and digital documents
• Year 1 registered office and business address services
• Any advisory, audits or store build work included in your package

These services are generally non-refundable once we have started or completed work on your file (see Refund Policy).

6.3 Renewal Fees

From the second year onward, address services renew at the rates stated on our website or in your agreement (e.g. currently: Registered Office $150/year, Business Address $250/year; total $400/year). We may also offer optional renewal of accounting or other services.

We may update our prices from time to time. Any price changes will not affect services you have already paid for but may apply to future renewals.

7. Intellectual Property

All content on our website and in our documents—including text, graphics, logos, icons, and layouts—is owned by or licensed to INNOVO AI LTD (trading as Globestart Commerce), unless otherwise stated.

You may not copy, reproduce, distribute, sell, or exploit our content or materials for commercial purposes without our prior written consent, except as required for normal use of our services.

8. No Legal, Tax, or Financial Advice

While we may share general information and insights based on our experience, we are not your lawyers, accountants or financial advisors. Our services do not replace professional legal, tax or financial advice.

You remain responsible for seeking independent advice about:

• Tax implications of using a UK company
• Local and international regulatory requirements
• Specific legal questions about contracts, compliance or regulations

9. Limitation of Liability

To the maximum extent permitted by law:

1. We shall not be liable for:

• Loss of profits, revenue, business, contracts or anticipated savings
• Loss of data or damage to reputation
• Any indirect, consequential or special loss arising out of or in connection with our services

2. Our total aggregate liability to you for all claims arising out of or relating to the services (whether in contract, tort, negligence or otherwise) shall be limited to the total fees you have paid to us for the specific service giving rise to the claim.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so (for example, liability for fraud or fraudulent misrepresentation).

10. Indemnity

You agree to indemnify, defend and hold harmless Globestart Commerce / INNOVO AI LTD, its directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of:

• Your breach of these Terms
• Your violation of any law or rights of a third party
• Your misuse of our services or use of a UK company in an unlawful manner

11. Data Protection and Privacy

We will process personal data in accordance with our Privacy Policy, which forms part of these Terms. By using our services, you acknowledge that we will process your personal data as described in that policy.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. Changes will apply to new services and, where appropriate, to ongoing services after a reasonable notice period.

By continuing to use our services after changes take effect, you accept the updated Terms.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising from or relating to these Terms or our services.
